You can't hide a piece of paper stating that somewhere in the box and call it binding. A contract cannot be established if you can't be sure the other party actually saw it before doing what you defined as the acceptance. Hell, many courts don't even accept EULAs at all. The user has to be pointed at the contract either during the install or at least with a seal on the disc package that he'd have to read before being able to take the disc, AFAIK you could just open the TA box, grab the CD, throw it in the comp and install without even looking at the manual (and really, most people don't RTFM so there's not even a reasonable expectation that the user saw the contract there before "accepting").

thats probably true. but tbfh, you dont have to agree not to steal someones IP (and in this case it is crystal clear who the IP in question belongs to) and thats all the TA EULA is (according to what i read into it)

i think it would make sense that if you can't read the EULA, then the copyright law proper takes precedence, which would mean distribution prohibited without author's permission, etc.

the TA EULA is more of a formalised declaration of intent "We consider the contents of the game to be valuable, and will protect our right to control distribution as we see fit."
